It works for me. What version of Windows XP do you have? I just installed NI Circuit Design Suite 12.0.1 Education Edition on Windows XP SP3 Pro 32bit and it worked.
Be aware that the download links in the page above are a bit counter-intuitive. The "I am evaluating" link downloads the latest version, that is 14.x currently. The "current user" link downloads the version one expects, 12.0.1 in this case. I only found out because I downloaded v14 first and could not install it...

The version of my Windows XP is : Home Edition Version 2002 service pack 2, I selected the option.I am evaluating NI circuit design educational edition (748mb).
I am really keen to use the software, years ago I had the orginal Electronic Workbench software.
Any help is much appreciated.

Looks to me like you accidentally downloaded the wrong file (see my previous post): The (in your case) wrong file "NI_Circuit_Design_Suite_14_1_Education.exe" is 749MB, the version "NI_Circuit_Design_Suite_12_0_1_Education.exe" you want is 635MB.
However, I don't know if the latter will install on Windows XP SP2. Microsoft ended it's support for XP SP2 in 2010 (eight years ago) and I'd expect NI to mainly support XP SP3 (although Microsoft ended Windows XP SP3's lifecycle already in April 2014).
